Threading Change’s Board of Directors will act in an advisory capacity, drawing on their collective experience in nonprofit leadership, accounting and finance, legal systems and best practices, Canadian and international non profit policy, ethical fashion, and the circular economy to help ensure the mission, goals and policies of Threading Change are met and guide us in building a strong foundation for our work.
The Board of Directors will act as advisory members to the Coordination Team, the Regional Coordinators, and the SDG Ambassadors of Threading Change. Board members are required to serve on at least 1 of our following committees: 1) Finance, 2) Governance and 3) Strategy.
We are seeking a Board that is intergenerational, regionally diverse, gender-diverse and deeply interested in supporting the growth of a young organization.
Remuneration: Our by-laws do not permit us to pay remuneration for Directors. This is a volunteer role.

We are recruiting for the following positions:
1. Co-Chairs (1 position vacant)
The Board Co-Chairs need to be highly strategic, knowledgeable about the organization and board practices, a coach, and a conciliator. They are responsible for the following:
a. Serve as the contact point for board members on issues arising;
b. Liaise with the Executive Director and Committee Chairs to set goals and objectives for the board and ensure that they are met;
c. Encourage Board participation in board meetings, committee activities and assigns committee chairs;
d. Conduct Board and Executive Director performance reviews;
e. Lead recruitment efforts for new board members.
2. Secretary (vacant)
The Secretary serves to keep records of decisions and correspondence during and between meetings. They are responsible for making the necessary arrangements for the following:
a. Prepare and issuing notices of general meetings and directors’ meetings;
b. Keep accurate minutes of board of directors meetings;
c. Keep the records of the Society in accordance with the Act;
d. Conducting the correspondence of the Board and sign official documents of the organization as required;
e. Fill the annual report of the Society and making any other filings with the registrar under the Act.
3. Treasurer (vacant)
The Treasurer is responsible for managing the finance of Threading Change. They are responsible for making the necessary arrangements for the following:
a. Develop and review financial policies and procedures for Threading Change
b. Provide general financial oversight on budgets, accounts and financial statements for the Finance Committee
c. Advise on the Threading Change’s fundraising strategy and ensure compliance of activities with relevant legislation
d. Manage bank accounts of Threading Change, set up appropriate book keeping for monitoring banking funds collected from the members or other sources;
e. Prepare financial statements, keep accounting records for audits and to file taxes for Threading Change
We are seeking a Treasurer that is registered as a Chartered Professional Accountant (CPA) in Canada. This Treasurer will work in an advisory capacity with the Managing Director and the bookkeeper at Threading Change on financial records and accounting measures when needed.
4. Directors-at-Large (3 vacant)
All other Directors that comprise the Board would be responsible for supporting the work of the Board and the Threading Change members. These roles are expected to take 20 hours maximum per year, including quarterly meetings and the Annual General Meeting, in addition to any advisory matters presented by the members of Threading Change.
